Introduction
Welcome to Heimly.
These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Cognyfai Limited("Cognyfai," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria.
By creating an account, accessing, or using the Heimly platform (the "Platform") — including our website and any related tools or services — you confirm that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy, Cookie Policy, and Disclaimer.
If you do not agree to these Terms, you must not access or use the Platform.
Definitions
- "Platform" means the Heimly website, web application, APIs, and all related services.
- "User" means any individual or entity that registers for or accesses the Platform.
- "Landlord/Developer" means a B2B User who lists properties for rent or sale on the Platform.
- "Agent" means a licensed or independent real estate professional who lists or manages properties through the Platform on behalf of a Landlord.
- "Tenant/Buyer" means a B2C User who searches for and applies to rent or purchase properties on the Platform.
- "Organization" means a business entity (individual landlord, independent agent, real estate company, or brokerage/agency) created on the Platform under which B2B Users operate.
- "Listing" means a property advertised for rent or sale on the Platform.
- "Offer" means a formal rental or sale offer generated by a Landlord or Agent to a Tenant/Buyer through the Platform.
- "Application" means a formal rental or purchase request submitted by a Tenant/Buyer for a specific Listing.
- "Lease" means the digital tenancy agreement created and signed through the Platform.
- "Maintenance Request" means a formal request submitted by a Tenant for property repairs or maintenance.
- "Subscription" means a paid or free plan that governs access to Platform features.
Eligibility
You must be:
- At least 18 years of age;
- A natural person, a registered business, or a legally recognised entity in Nigeria or any other jurisdiction where the Platform operates;
- Not barred or restricted from using the Platform under applicable Nigerian law or any other applicable law.
By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
Account Registration & Responsibilities
Registration
To access most features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Select your primary role (Landlord, Agent, Real Estate Broker, Real Estate Company, or Tenant) accurately;
- Keep your account information up-to-date at all times.
Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activity conducted under your account;
- Immediately notifying us at support@heimly.ng if you suspect unauthorised access.
One Account Per User
You may not create multiple accounts to circumvent restrictions, access premium features fraudulently, or misrepresent your identity.
Organizations
B2B Users operate within an Organization on the Platform. Organization Owners may invite team members and assign roles (Admin, Member, External User). You are responsible for all actions taken by members of your Organization.
Platform Role & Heimly's Position
Heimly is a technology platform and marketplace intermediary. Heimly is NOT:
- A property owner, landlord, or developer;
- A real estate broker or licensed agent;
- A party to any lease agreement, tenancy arrangement, or purchase transaction;
- A financial institution or payment processor.
Heimly provides the tools that enable Landlords, Agents, Real Estate Brokers, Real Estate Companies, Tenants, and Buyers to connect, communicate, transact, and manage real estate activities. All agreements formed through the Platform — including Leases, Offers, and payment arrangements — are directly between the Landlord/Owner and the Tenant/Buyer.
Heimly administers the Platform and may take action to protect its integrity, but is not responsible for ensuring the performance of any party in any transaction.
Marketplace — Property Listings
Creating a Listing
Landlords, Agents, Real Estate Brokers, or Real Estate Companies may create Listings on the Platform. You represent and warrant that:
- You have the legal right to list the property (as owner, authorised agent, or otherwise);
- All information provided in the Listing is true, accurate, current, and complete;
- All photographs and media accurately represent the property as it currently exists;
- The stated price is the actual asking price with no undisclosed hidden fees.
Listing Review Process
All Listings are subject to Heimly's review before publication. A Listing may have the following statuses:
- Draft: Saved but not yet submitted.
- Pending Review: Submitted and under Heimly's review.
- Published: Live on the marketplace.
- Declined: Listing does not meet our standards.
- Pending Verification: Awaiting property document review.
- Blocked: Removed from the marketplace for policy violation.
Heimly reserves the right to decline or block any Listing at any time, with or without prior notice, for any breach of these Terms or platform policies.
Sponsored & Featured Listings
Paid sponsorships and featured placement are subject to your active B2B Subscription plan limits:
- Basic Plan: 0 featured properties.
- B2B Pro Plan: Up to 5 featured properties.
- B2B Business Plan: Up to 10 featured properties.
Sponsorship fees are non-refundable once a sponsorship period has commenced, regardless of whether the property is subsequently blocked or removed for policy violations.
Search & Ranking
Listing visibility is determined by a ranking algorithm that considers different factors. Heimly does not guarantee a specific ranking or volume of enquiries for any Listing.
Agent Assignments
Property providers (B2B users) may assign one or more Agents to manage their properties. Commission terms agreed between the property provider (B2B users) and Agents are private arrangements; Heimly records the commission percentage for reference but is not a party to, and bears no liability for, any commission dispute.
Property Verification
Property providers (B2B users) may submit their properties for verification. Accepted document types include:
- Certificate of Occupancy (C of O)
- Deed of Assignment
- Utility Bill (PHCN/Water)
- Land Survey Plan
A verified property receives a higher Trust Score and may be displayed with a verification badge. However:
Verification of documents by Heimly is an administrative process only. Heimly does not warrant or guarantee the legal validity of any title, the absence of encumbrances, or the physical condition of any verified property. Users are strongly advised to conduct independent legal due diligence before entering into any transaction.
Submitted verification documents that are found to be falsified, forged, or misleading will result in immediate account suspension and may be reported to relevant Nigerian authorities.
Property Management Services
Offers
Landlords, Agents, Real Estate Brokers, and Real Estate Companies may issue digital Offersto prospective tenants and buyers, specifying rent/sale amounts, intervals, service charges, and proposed tenancy dates. An Offer has an expiry date and may be Withdrawn by the issuing party. A Tenant's acceptance of an Offer initiates an Application.
Applications
Tenants may submit a Rental or Purchase Application tied to a specific property. B2B users review applications and may Approve, Reject, or allow them to Expire. B2B users must not apply discriminatory criteria in reviewing applications in violation of applicable Nigerian law.
Tenants may Withdraw an Application at any time before a decision is made.
Leases & Digital Signatures
Upon approval of an Application, the property provider creates a Lease on the Platform. The Lease document is uploaded in PDF or Word format and shared with the Tenant for review, signed physically and then uploaded back to the property provider.
- Tenants must acknowledge reviewing the Lease before signing.
- Users are advised to seek independent legal counsel to confirm the authenticity of any provided lease document.
- Heimly is NOT a party to any Lease. The Lease is a direct agreement between the Landlord/Owner and the Tenant.
Maintenance Requests
Tenants may submit Maintenance Requests through the Platform, categorised as: Leakage, Repairs, Paint, Water, Electricity, Security, or Other.
The maintenance workflow is as follows:
Pending → Acknowledged → In Progress → Resolved
Property providers (B2B users) are expected to acknowledge and respond to maintenance requests in a timely manner. Tenants may reopen a request if the reported issue has not been satisfactorily resolved. The Platform maintains a full audit trail of all actions.
Heimly does not guarantee response times, resolution quality, or landlord compliance with maintenance obligations. Disputes arising from maintenance issues should be addressed through the mechanisms outlined in our Dispute Resolution Framework.
Payments
Subscription Payments
Subscription fees are charged via Paystack in accordance with your selected billing cycle (Monthly, Quarterly, or Yearly). Subscription payments are separate from lease rent payments.
Subscription Plans
Heimly offers the following tiers for B2B users:

Heimly offers the following tiers for B2C users:

Auto-Renewal
Subscriptions auto-renew at the end of each billing cycle unless you opt out before the renewal date. You consent to auto-renewal charges when subscribing.
Plan Downgrades & Lapses
If your subscription lapses or is downgraded:
- Features and limits will be enforced programmatically.
- Properties, listings, or team members exceeding your new plan's limits may be temporarily restricted.
Cancellation & Refunds
- You may cancel your subscription at any time.
- Cancellations take effect at the end of the current billing period; no pro-rated refunds are provided for unused portions of a paid period, unless required by applicable law.
Messaging & Communications
The Platform includes an in-app messaging system to facilitate communication between Landlords, Agents, Real Estate Brokers, Real Estate Companies, Tenants, Buyers, and team members.
You agree to use the messaging system only for legitimate, property-related communication and to NOT:
- Send spam, unsolicited commercial messages, or harassment;
- Share personal banking details, OTP codes, or passwords;
- Solicit transactions outside of the Platform;
- Impersonate another user or third party.
Heimly reserves the right to review, disable, remove, or report messages in cases of suspected fraud, abuse, harassment, or violation of these Terms, and as required by applicable law.
Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent property information, identity documents, or verification materials;
- Create fake or duplicate accounts;
- Use the Platform to facilitate illegal activity, including property fraud, money laundering, or identity theft;
- Reverse engineer, scrape, or otherwise extract data from the Platform without authorisation;
- Interfere with the security or integrity of the Platform;
- Discriminate against any person in the context of property listings or applications on protected grounds under Nigerian law;
- Market or advertise third-party services without Heimly's written consent.
Violations may result in immediate account suspension or termination, removal of listings, and where appropriate, referral to law enforcement authorities.
Content & Intellectual Property
Your Content
You retain ownership of content you submit to the Platform (property photos, descriptions, documents). By submitting content, you grant Heimly a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content solely for the purpose of operating and promoting the Platform.
You represent and warrant that you have the right to submit all content you provide and that such content does not infringe any third-party intellectual property or privacy rights.
Heimly's Intellectual Property
All Platform software, design, trademarks, branding, and proprietary content belong to Heimly or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.
Trust Scores
Heimly assigns a Trust Score to each User and each property Listing based on the following baseline criteria:

Property Trust Scores are additionally boosted by approved verification documents. Trust Scores are indicative only and do not constitute a guarantee, endorsement, or warrantyby Heimly of any User's character, solvency, or the legal standing of any property.
Termination & Suspension
By You
You may terminate your account at any time by contacting support@heimly.ng. Termination does not extinguish obligations under active leases or pending transactions.
By Heimly
Heimly may suspend or terminate your account, without prior notice, if you:
- Breach these Terms or any incorporated policy;
- Provide false information or fraudulent documents;
- Engage in conduct that poses a risk to other Users or the Platform;
- Fail to pay applicable subscription fees.
Effect of Termination
Upon termination: access to Platform features will be revoked; Listings will be removed; active lease records will remain accessible to relevant parties as required. Heimly retains records in accordance with our Privacy Policy and applicable Nigerian law.
Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, HEIMLY DISCLAIMS ALL WARRANTIES INCLUDING:
- That the Platform will be uninterrupted, error-free, or secure;
- That Listings are accurate, truthful, or legally valid;
- That any User (Landlord, Agent, Tenant, or Buyer) is who they claim to be;
- That verification processes will identify all fraud or misrepresentation;
- That any property transacted through the Platform is fit for purpose or free from defects or encumbrances.
The word "verified" on the Platform refers solely to the completion of an administrative document review process and does not constitute a legal guarantee of title or ownership.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY NIGERIAN LAW, Cognyfai Limited (INCLUDING ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES) SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, consequential, or special damages arising from your use of the Platform;
- Loss of profits, data, goodwill, or business opportunity;
- Losses arising from fraudulent listings, fraudulent users, or misrepresentation by any third party;
- Any acts or omissions of any Landlord, Agent, Real Estate Broker, Real Estate Company, Tenant, or Buyer.
In no event shall Cognyfai's total aggregate liability to you exceed the total fees paid by you on Heimly in the twelve (12) months preceding the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Heimly, its directors, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform;
- Your breach of these Terms;
- Your submission of false, fraudulent, or infringing content;
- Any dispute between you and any other User;
- Your violation of any applicable Nigerian law or third-party right.
Governing Law & Dispute Resolution
These Terms are governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria, including:
- Nigeria Data Protection Act (NDPA), 2023
- Companies and Allied Matters Act (CAMA), 2020
For disputes between property providers and Tenants or Buyers arising from property transactions facilitated on the Platform, please refer to our Dispute Resolution Framework.
For disputes between you and Heimly:
- Step 1 — Internal Resolution: Contact us at info@heimly.ng. We will attempt to resolve your complaint within 30 business days.
- Step 2 — Mediation: If unresolved, parties agree to attempt mediation through a mutually agreed mediator before commencing litigation.
- Step 3 — Litigation: Any unresolved dispute shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Modifications to These Terms
Heimly may update these Terms from time to time. When material changes are made:
- We will post the updated Terms on the Platform with a new "Last Updated" date;
- We will notify registered Users via email or in-platform notification at least 14 days before the changes take effect.
Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.
Miscellaneous
- Severability: If any provision of these Terms is found invalid or unenforceable, it shall be severed and the remaining provisions shall remain in full force.
- No Waiver: Failure to enforce any provision shall not constitute a waiver.
- Assignment: You may not assign your rights or obligations under these Terms without Heimly's prior written consent. Heimly may assign its rights at any time.
- Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and Heimly.
- Force Majeure: Cognyfai Limited shall not be liable for delays or failures resulting from events beyond our reasonable control, including acts of God, national emergencies, government action, power outages, internet disruptions, or strikes.
