Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Heimly platform operated by Cognyfai Limited ("Heimly", "we", "us"). By creating an account or using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under Nigerian law to use the Platform. By using the Platform you represent that you meet these requirements. We reserve the right to suspend or terminate accounts found to be operated by minors.

2. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. Notify us immediately at info@heimly.ng if you suspect unauthorised access to your account.

We may require identity verification (KYC) before you can access certain features. Providing false information during KYC is a material breach of these Terms and may result in immediate account termination and referral to law enforcement.

3. The Platform — What We Provide

Heimly is a technology platform that connects property owners, agents, and prospective tenants or buyers. We are a technology intermediary, not a real estate broker or estate agent. We do not hold, manage, or have authority over any property listed on the Platform. We do not guarantee the accuracy of property listings or the conduct of any user.

Transactions (leases, sales, payments) are between the relevant users. Heimly facilitates — it does not underwrite or guarantee — those transactions.

4. Acceptable Use

You agree not to:

  • Post false, misleading, or fraudulent property listings.
  • Use the Platform for any unlawful purpose, including money laundering or property fraud.
  • Harass, threaten, or abuse other users through the messaging system.
  • Attempt to access, scrape, or reverse-engineer any part of the Platform without our written consent.
  • Introduce malware, viruses, or other harmful code.
  • Create multiple accounts to circumvent plan limits or bans.
  • List properties you do not own, represent, or have authority to list.
  • Collect personal data from other users without their explicit consent.

We may suspend or terminate your account without notice for violations of this section. We reserve the right to report illegal activity to the appropriate authorities.

5. Listings and Content

You retain ownership of the content you upload (photos, descriptions, documents). By uploading content you grant Heimly a non-exclusive, royalty-free, worldwide licence to host, display, and use that content for the purpose of operating and promoting the Platform.

You represent that you own or have the necessary rights to all content you upload, and that it does not infringe any third-party intellectual property rights or applicable law.

We reserve the right to remove any content that violates these Terms or that we deem harmful, misleading, or inappropriate, without prior notice.

6. Subscription Plans and Payments

Access to certain features requires a paid subscription. Prices are displayed in Nigerian Naira (NGN) inclusive of applicable VAT. You authorise us to charge your payment method on a recurring basis for the selected billing cycle (quarterly, bi-annual, or yearly).

Cancellations: You may cancel your subscription at any time from your account settings. Your plan remains active until the end of the current billing period. We do not issue refunds for unused periods unless required by law.

Failed payments: If a renewal payment fails we will notify you and allow a grace period of 7 days before downgrading your account to the free Basic plan.

Price changes: We will provide at least 30 days' notice of price increases before they affect your next renewal.

7. Marketplace Listing Boosts

Sponsored listing (boost) fees are non-refundable once the sponsorship period has begun. If a technical error causes a boost not to activate, contact us within 48 hours for a review.

8. Intellectual Property

The Heimly name, logos, design, and platform code are the exclusive property of Cognyfai Limited and protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, or create derivative works from our intellectual property without written permission.

9. Third-Party Services

The Platform integrates third-party services (Paystack, QoreID, Contentful). Your use of those services is governed by their respective terms and privacy policies. Heimly is not responsible for the practices of third-party service providers.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We are not responsible for the accuracy, completeness, or legality of user-submitted listings.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEIMLY'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL HEIMLY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA.

12. Indemnification

You agree to indemnify and hold harmless Cognyfai Limited, its officers, employees, and partners from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or related to these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Lagos Court of Arbitration rules. The seat of arbitration shall be Lagos, Nigeria.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by email or a prominent notice on the Platform at least 14 days before the effective date. Continued use after the effective date constitutes acceptance of the revised Terms.
